Terms of Service

Please read these Terms of Service carefully before using GiveBlack. By downloading, accessing, or using our app or website, you agree to be bound by these terms. If you do not agree to these terms, please do not use our services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and GiveBlack ("we," "us," or "our") governing your access to and use of the GiveBlack mobile application and website at https://giveblackapp.com/ (collectively, the "App").


By downloading, registering for, or using the App, you confirm that you are at least 13 years of age, have read and understood these Terms, and agree to be bound by them along with our Privacy Policy. If you do not agree, please do not use the App.

2. Description of Services

GiveBlack is a charitable giving platform that:


  • •Connects donors with verified Black-led charitable organizations and campaigns
  • •Processes donations from donors to charitable organizations
  • •Provides organizations with tools to manage campaigns, communicate with donors, and track fundraising progress
  • •Facilitates volunteer sign-ups and community engagement
  • •Offers a GiveBlack Wallet for managing donation balances

    • GiveBlack acts as a technology platform and payment facilitator. We are not a charitable organization, and donations made through the App are disbursed to the recipient organizations.

    3. User Accounts

    a. Account Registration

    To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your account information updated.

    b. Account Security

    You are responsible for maintaining the confidentiality of your login credentials. You agree not to share your password and to notify us immediately at david.hughes@giveblackapp.com of any unauthorized access to your account. You accept responsibility for all activities that occur under your account.

    c. Account Restrictions

    You may not create more than one personal donor account. You may not create an account if you have been previously suspended or banned from the App. We reserve the right to suspend or terminate accounts that violate these Terms.

    4. Acceptable Use

    You agree not to use the App to:


  • •Violate any applicable local, state, national, or international laws or regulations
  • •Engage in fraudulent activity, including creating fake campaigns, organizations, or identities
  • •Harass, abuse, threaten, defame, or discriminate against any person
  • •Post false, misleading, or deceptive content
  • •Impersonate any person, organization, or entity
  • •Attempt unauthorized access to our systems, servers, or user accounts
  • •Use automated tools (bots, scrapers) to access or collect data without our prior written consent
  • •Transmit malware, viruses, or any code designed to disrupt or damage systems
  • •Engage in money laundering or any illicit financial activity
  • •Interfere with the proper functioning of the App

    • 5. Donations and Payments

    a. Payment Processing

    All payment processing is handled by Stripe, Inc., a PCI DSS Level 1 certified provider. By making a donation, you agree to Stripe's Terms of Service. GiveBlack charges a platform fee on donations to cover operational costs; this fee is clearly disclosed before you complete a transaction. Card details are tokenized by Stripe and never stored on our servers.

    b. Refund Policy

    Donations are generally non-refundable once processed, as funds are committed to charitable organizations. If you believe a donation was made in error or was fraudulent, please contact us within 7 days at david.hughes@giveblackapp.com. We will investigate and, where applicable, work with Stripe to process a reversal.

    c. Tax Receipts

    GiveBlack provides electronic donation receipts. However, we do not provide tax advice. The deductibility of your donation depends on applicable law and the tax-exempt status of the recipient organization. Please consult a qualified tax professional.

    d. GiveBlack Wallet

    GiveBlack Wallet balances are held in trust and may be applied toward donations. Wallet balances are non-transferable and non-redeemable for cash, except as required by applicable law. We reserve the right to expire or adjust wallet balances with reasonable notice.

    e. Recurring Donations

    If you set up a recurring donation, you authorize GiveBlack to charge your payment method on the specified schedule until you cancel. You may cancel recurring donations at any time through the App settings.

    6. Charitable Organizations

    Organizations that register on GiveBlack agree to:


  • •Provide accurate and truthful information about their organization, mission, and campaigns
  • •Use donated funds exclusively for the stated charitable purposes
  • •Maintain valid 501(c)(3) or equivalent nonprofit status
  • •Provide all documentation requested for verification, including EIN and organizational records
  • •Promptly update campaign information to accurately reflect progress and fund usage
  • •Not use the platform for personal enrichment or any non-charitable purpose

    • GiveBlack reserves the right to remove any organization from the platform for violations of these Terms, suspected fraud, or conduct we determine to be inappropriate.

    7. User Content

    You retain ownership of any content you submit to the App, including photos, descriptions, and comments. By submitting content, you grant GiveBlack a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, distribute, and promote that content in connection with our services and for marketing purposes.


    You represent that you have all rights necessary to grant this license and that your content does not infringe on any third-party rights, including copyright, trademark, or privacy rights.


    We may remove any content that violates these Terms or that we find objectionable in our sole discretion, without notice.

    8. Intellectual Property

    The GiveBlack name, logo, application design, and all original content created by GiveBlack are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of our intellectual property without our prior written permission.


    The App is licensed to you, not sold. This license is limited, non-exclusive, non-transferable, and revocable, for personal, non-commercial use in accordance with these Terms.

    9. Disclaimers

    THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.


    We do not warrant that: (a) the App will be uninterrupted, error-free, or secure; (b) defects will be corrected; (c) the App is free of harmful components; or (d) information provided through the App is accurate, complete, or current.


    GiveBlack makes reasonable efforts to verify organizations before listing them, but does not guarantee that any organization will achieve its stated goals or use funds as described.

    10. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GIVEBLACK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE APP.


    OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE TOTAL AMOUNT YOU PAID TO GIVEBLACK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

    11. Indemnification

    You agree to indemnify, defend, and hold harmless GiveBlack and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the App.

    12. Termination

    You may stop using the App and delete your account at any time through the App settings or by contacting us at david.hughes@giveblackapp.com.


    We may suspend or terminate your access to the App at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your license to use the App immediately ceases.


    Sections that by their nature should survive termination will remain in effect, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

    13. Governing Law and Dispute Resolution

    a. Governing Law

    These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

    b. Informal Resolution

    Before initiating any formal dispute, you agree to contact us at david.hughes@giveblackapp.com and attempt to resolve the matter informally for at least 30 days.

    c. Binding Arbitration

    If informal resolution fails, disputes shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access.

    d. Class Action Waiver

    You agree to resolve disputes with GiveBlack on an individual basis only. You waive any right to participate in class action lawsuits or class-wide arbitration against GiveBlack.

    14. Changes to These Terms

    We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before changes take effect. Your continued use of the App after the effective date constitutes your acceptance of the updated Terms.


    If you do not agree with the updated Terms, you must stop using the App and delete your account before the effective date.
